Hogan & Hartson has a nationally — and internationally — recognized capital markets practice with more than 80 lawyers. We provide a full range of services for issuers and underwriters in initial public offerings, follow-on offerings, investment-grade, high-yield and convertible debt offerings, PIPE transactions, and 144A, Regulation S and private placements with the depth and breadth to handle the most complex and extremely time sensitive matters. We maintain a very strong working relationship with the Securities and Exchange Commission (SEC), which enables us to effectively and efficiently take clients through the SEC review process. The industry focus of our capital markets lawyers enables us to structure and execute transactions in order to maximize client goals, including developing innovative transactional structures.
We possess significant experience in assisting companies in all phases of the corporate life cycle from assisting companies in formation and closely-held companies in early-stage capital raising, to helping companies make the transition to public status and advising on the requirements of public ownership, including the requirements under the Sarbanes-Oxley Act. In connection with initial public offerings, we help prepare companies to make the significant transition to the public domain by providing detailed, step-by-step guidance to management and boards of directors. We are also a leader in helping public companies issue additional equity and debt securities, as well as navigate the requirements of Regulation FD and Regulation G in issuing earnings and other announcements to the public and communicating with research analysts. We serve many of the world's leading investment banking firms and established and emerging issuers across a broad spectrum of industries.
Our close working relationship with the SEC emanates from the experience of many of our partners who have held high-level positions at the SEC's Division of Corporation Finance and elsewhere at the commission, including the former chief counsel to the Division of Corporation Finance and the head of the Office of Tender Offers. Hogan & Hartson lawyers also have been selected to join the SEC staff in many roles, including the former head of the Division of Corporation Finance. We frequently obtain quick resolution of difficult regulatory issues for our clients based on our extensive working relationship with the commission and we routinely consult with SEC staff on regulatory compliance and enforcement initiatives. Our familiarity with the SEC’s evolving thinking on important issues enables us to anticipate the commission's comments and, as a result, to help take clients effectively and efficiently through the SEC review process.
