Our experience spans two decades of hotel and resort acquisitions, sales, development, management and operations, equity and debt capital structures, venture, and other ownership entity formation, and related business, tax, and operating representation. In recent years, our group has been involved in hotel transactions in more than 40 cities in the United States and over two dozen other countries. Our lawyers actively structure and negotiate single and portfolio transactions and engage in venture, fund, and REIT formation for lodging assets. We structure and negotiate financing arrangements of all types of hotels and resorts, represent owners and investors in management and operational agreements with major and boutique brands, and prepare and negotiate development and related hotel and resort agreements. We also provide general business and interdisciplinary representation for clients in all facets of the hospitality and lodging industry.

The lawyers associated with our hospitality and lodging practice understand the many key issues that can be involved in a hotel or resort project. We bring to bear a significant body of relevant experience from within the group and from related practice areas to assist clients in evaluating business, financing, tax, and operating strategies.

The projects for which we provide services are as varied and complex as the industry itself. We represent owners and investors in the development of hotels and resorts, structure and assist in acquisitions and dispositions, negotiate new and restructure old management and operational agreements with major hotel companies, engage in the structure of public-private partnerships for hotels at airports and similar publicly-sponsored locations, assist in the financing and development structuring of resort casinos, and generally engage in projects of both traditional and unique character.

In addition to our experience with private equity formation for sponsors and investors in hotel properties, Hogan & Hartson has a nationally-recognized practice in real estate securities and capital markets, including REITs and the public and private offerings of securities associated with hotels, resorts, and related assets.
