We advise clients on transactions encompassing licensing, research and development, collaboration, commercialization and distribution, and strategic alliances, as well as acquisitions and sales of intellectual property assets.

Software, Information Technology, and E-Commerce
- We assisted a financial B-to-B company with setting up an online exchange for financial services. This included setting up form agreements and developing privacy policies for the exchange, as well as negotiating the software and communications agreements necessary to operate the exchange.
- We assisted a group purchasing organization with a transaction to engage a service provider to develop an online system that would enable more than 200 member hospitals to purchase medical equipment and supplies from suppliers that had contracted with the GPO.
- When a client required mission-critical software in order to deploy its services, we quickly and expeditiously negotiated a license with a value of over $11 million dollars.
Life Sciences
- When a biosciences company sought to license its proprietary food supplements for use by the world's largest manufacturers of infant formula, we provided strategic counseling and drafted and negotiated the licensing agreements.
- For an S&P 500 pharmaceutical company, we have assisted with inbound and outbound licensing, sales, and acquisitions of various drug product lines.
- When an Israeli device manufacturer sought to further develop and commercialize its products, we helped negotiate a joint venture with a major U.S. company. The transaction involved a licensing and distribution arrangement as well as an equity investment in the Israeli company.
- We helped a U.S. pharmaceutical company establish its first international clinical trial. We worked with the company to develop, negotiate, and analyze related clinical research organization and clinical trial agreements.
Due Diligence
- When a developer of parasitic-extraction software was merging with another company, we helped it prepare by reviewing its IP assets and licensing arrangements. We then assisted our corporate group in negotiating and structuring the transaction in light of the unique nature of the IP assets.
- In connection with a communication company's initial public offering, we assisted the underwriter by analyzing the company's IP assets, confidentiality agreements, software licenses, and service arrangements, and then reviewing the related disclosures in the registration statement.
