Paul Manca's practice encompasses a wide variety of corporate and securities matters for public and private companies, with a focus on mergers and acquisitions transactions, debt and equity financings, and corporate governance counseling.
Paul has represented public and private companies and investors in various acquisition and disposition transactions, including stock and asset acquisitions and dispositions, merger transactions, and alternative business arrangements, such as joint venture transactions and other strategic alliances.
Paul regularly represents companies and investors in capital raising and financing transactions, including public and private offerings of debt and equity securities. Paul also has extensive experience advising companies, including boards of directors and special committees, on a broad range of general corporate and securities matters, such as compliance with the Sarbanes-Oxley Act and other U.S. federal securities laws and U.S. stock exchange requirements, and preparation and review of periodic reports, registration statements, proxy statements, and other documents filed with the Securities and Exchange Commission.
Paul also assists clients in connection with complex commercial agreements and other licensing and collaboration arrangements. Paul represents clients in a variety of industries, including health care and biotechnology.
