Prentiss Feagles is a co-director of the firm's tax practice group, practicing principally in the areas of corporate and partnership taxation. He also serves as the firm's managing partner of finance.
Prentiss is active in a variety of areas of tax law on behalf of domestic and foreign corporations, real estate investment trusts (REITs), umbrella partnership real estate investment trusts (UPREITs), partnerships, and wealthy individuals. He is regularly involved in advising corporate clients, including investment banking firms and REITs, on a broad range of corporate tax matters, including mergers and acquisitions, reorganizations, debt restructurings, asset dispositions, and securities offerings involving tax issues.
Prentiss is the partner within the tax practice group with overall responsibility for tax matters related to the firm’s REIT and real estate securities practice. In that capacity, he is responsible for the tax planning with respect to the formation of a number of REITs and UPREITs, public and private "rollup" transactions involving REITs, mergers involving large public REITs and UPREITs, and the ongoing operations of these entities. He also handles a variety of partnership tax matters, including structuring investment funds, strategic joint ventures, and both public and private real estate partnerships.
A portion of Prentiss' work in the corporate and partnership area relates to advising foreign clients regarding U.S. tax implications of their investments and operations in the United States. As part of his practice, he has experience successfully handling a number of administrative matters before the Internal Revenue Service, including ruling requests, tax audits and appeals, bankruptcy tax proceedings, and closing agreements.

Representation of a number of REITs and underwriters in IPOs, including IPOs for Republic Properties, Extra Space, Kite Realty, U-Store-It, Fieldstone Mortgage, Equity Office, Colonial Properties, Carr, and Charles E. Smith Residential.
Representation of several large public C corporations in conversion to REIT status, including CapitalSource and Host Hotels & Resorts.
Representation of a number of REITs in ruling requests and other administrative matters before the Internal Revenue Service.
Tax counsel in the largest "public rollup" transactions undertaken by REITs.
