Mr. Horan serves as a Director of the firm’s corporate, securities, and finance group, focusing his practice on mergers and acquisitions. He also chairs the firm’s merger and acquisition coordinating committee. During his career with the firm, Mr. Horan has handled more than 50 public and private merger and acquisition transactions. He represents public and private companies in many industries, with particular emphasis on regulated industries. His extensive transactional background includes matters for clients in communications and media; technology; energy; homeland security, defense, and government contracts; and the pharmaceutical and health care industries. He has wide-ranging experience advising clients on various acquisition structures, including public and private mergers, stock and asset purchases, divestitures, spin-offs, and auction transactions.
In addition, Mr. Horan has served as a member of the firm’s executive committee and is active in many nonprofit, political, and professional organizations. Most recently, he was appointed to serve a four-year term on the Virginia Bar Association’s Committee on Federal Judgeships, Eastern District.
Prior to joining Hogan & Hartson in 1988, Mr. Horan served as a law clerk to The Honorable James C. Cacheris, U.S. District Court for the Eastern District of Virginia.
Representative Experience
Represented a S&P 500 public specialty pharmaceuticals company in the acquisition of two public specialty pharmaceutical companies with an aggregate deal value in excess of $3.5 billion.
Represented USA Networks in the sale of USA Broadcasting Station Group to Univision Communications for $1.1 billion.
Represented the Titan Corporation, a public government services contractor, in its attempted merger for stock and cash with Lockheed Martin Corporation for $2.4 billion.
Represented Graceway Pharmaceuticals, Inc. in the acquisition of 3M Company’s branded pharmaceuticals business in the United States, Puerto Rico, Canada, and Latin America for $875 million.
Represented Duratek, Inc., a public provider of radioactive materials disposition and nuclear facility operations, in its $396 million acquisition by Energy Solutions, Inc., a national energy services company.
Represented various broadcasters, including Fox Television Stations, USA Broadcasting, Big City Radio, Bluestone Television, Colfax Communications, Home Shopping Network, and Sunrise Television, in the acquisition and disposition of television and radio stations and station groups involving more than 125 stations.
