Bill Curtin is a Director of the firm's corporate, securities, and finance practice group and Chair of its European corporate, securities, and finance group. Bill's practice focuses on international business transactions, notably in the United States and across Europe.
Bill represents publicly and privately held companies, as well as major investors, in a variety of corporate matters, including mergers and acquisitions, tender offers and exchange offers, joint ventures, strategic alliances, restructurings and recapitalizations, strategic and financial investments, and debt and equity financings. He has participated in transactions involving a number of industries, including aerospace and defense, government contracts, life sciences, manufacturing, automotive, satellite, telecommunications, media and entertainment, hotel and leisure, and technology.
Bill has experience advising U.S. and European companies on general business matters from their initial organization through maturity. He has acted as lead corporate counsel on some of the most significant business transactions in the United States and Europe, with primary responsibility for the structuring, negotiation, and implementation of a wide range of complex commercial arrangements for clients. Bill also counsels boards of directors and special committees of boards on corporate governance matters and on transactions raising fiduciary duty and business judgment considerations.
Bill is co-author of a comprehensive article on cross-border business combination transactions which has been cited by the SEC as one of several authoritative sources on the matter ("Cross-Border Tender Offers and Other Business Combination Transactions and the U.S. Federal Securities Laws: An Overview," The Business Lawyer, May 2006, Vol 61, Number 3).
Bill has received widespread recognition as a leading transactional lawyer. In 2009 he was runner-up for The Lawyer’s "Partner of the Year" award in London, and was one of eight corporate lawyers profiled in The Deal’s "Faces of Deal Lawyers" as poised to become significant figures of the bars in leading commercial centers of the world. In 2008 Bill was named one of the top 100 M&A attorneys worldwide by clients in BTI's Transactions All-Star Team Report, which recognizes outstanding client service performance through independent research of more than 180 corporate counsel. Most recently, Bill was selected as being among 592 of the world's leading Merger & Acquisition lawyers by the The International Who's Who.
